해외기업 인수합병 이후 다중사업기업의 비즈니스와 IT의 전략적 연계에 관한 연구: 두산중공업 사례를 중심으로

Abstract

IT 기반의 비즈니스 환경이 강화되면서 기업의 인수합병에 따른 IT 분야의 통합은 성공적인 인수합병의 주요 결정요인으로 부각되고 있다. 이에 본 연구는 해외기업 인수합병 이후 IT 통합 전략을 성공적으로 추진한 다중사업기업(Multi-Business Organization, MBO)인 두산중공업을 대상으로, 전사(Corporate) 수준과 전략사업단위(Strategic Business Unit, SBU) 수준에서 고려되어야 하는 비즈니스와 IT의 전략적 연계와 통합 과정을 분석하였다. 본 연구의 결과에 의하면, MBO의 경우 비즈니스와 IT의 연계성을 강화하는 데 있어 다음과 같은 문제점이 관측되었다: 조직 단위 간 보고 체계의 혼돈, 주요 과제 수행을 위한 예산 할당의 어려움, SBU에서 주요 IT 과제에 우선순위를 지정하는 데 따른 어려움, 이를 극복하기 위해서는 인수합병 이후 신규 비즈니스와 IT 전략 간의 연계성을 고려한 체계적이고, 전사적인 IT 통합 계획 수립이 필요하며, 통합 계획 수립 과정에서 전사와 SBU의 비즈니스와 IT의 전략적 연계를 위한 경영 메커니즘 수립, 인수합병 전략과 수행 기간을 고려한 단계적 IT 통합 수행, 그리고 업종 특이성을 반영한 IT 통합 전략 구현 등이 주요한 전략 과제로 대두되었다.M&A(Merger & Acquisitions) is a standard and frequently used corporate strategy by companies seeking to secure a new growth engine and gain a solid foothold in their markets, thus becoming more globally competitive. In order to achieve the original goals of M&A, two M&A parties need to invest significant time and resources in integrating all aspects of two com-panies. Among these aspects, a well-planned post-merger integration of information technology(IT PMI) by the two M&A parties is considered as a crucial and difficult process because IT provides a fundamental infrastructure for their integration. In this study, we investigate how the strategic alligance between business and IT can be formulated and implemmted in cross-border M&A in Multi-Business Organization(MBO). In order to achieve this goal, we analyze cross-border M&A case made by Doosan Heavy Industries Co., Ltd. We identify that more strategic plan is necessary for the alignment between business and IT in MBO, and that it should be formulated after considering a specialized management mechanism, a phased IT integra-tion strategy, and industry characteristics.
