CISG에 관한 최근 미국 판례(2014-15년)의 동향-1

Abstract

국제물품매매계약에 관한 국제연합협약(이하 ‘협약’ 또는 ‘CISG’라 약한다)은 이미 80여 개국이상이 가입하여 국제적인 물품매매를 규율하는 통일법으로서 자리를 잡아가고 있다. 그동안 국제거래사회에서는 협약에 대한 기대와 함께 통일법으로서의 협약에 대한 회의적인 시각이 많았음도 부인할 수는 없다. 그러나 이제 국제거래사회는 협약이 매매와 관련한 국제적인 통일법으로서 기능하도록 하기 위하여 어떠한 노력을 경주하여야 하는가에 많은 관심과 노력을 기울이고 있다. 그중 두드러진 경향은 각국 법원들이 협약을 해석․적용함에 있어 내국법에 의존하는 경향을 탈피하고 가능한 다른 나라 법원들의 판결 등을 고려하여 협약의 통일된 해석․적용을 기해야 한다는 것이다. 그동안 많은 나라의 법원들이 협약과 관련하여 이러한 ‘내국법지향’(homeward trend)의 경향을 보여 왔고, 미국도 그 대표적인 국가의 하나이다. 우리의 입장에서도 그러한 경향은 지양되어야 하고 이를 위해서는 제외국의 법원 판결 등에 관한 검토가 필요하다. 본고는 그러한 맥락에서 협약에 관한 미국 법원들의 최근 판결동향을 소개․검토함으로써 ‘내국법지향’ 경향을 지양할 수 있는 토대를 만드는데 일조하기 위한 것이다. The United Nations Convention on Contracts for the International Sale of Goods(hereinafter ‘CISG’) was drafted in an effort to harmonize the law applicable to international sales transactions in order to facilitate international trade. The CISG has been ratified by more than 80 countries. Even though there are several weak points in the CISG as a uniform sales law in the world, world international trade society still is trying to make an effort for its success as a world uniform sales law. However, we cannot deny the fact that there are so many obstacles against it. Since the CISG has been in force, one of the most important obstacle is the so-called ‘homeward trend’. Courts have interpreted the CISG to mean the same as the corresponding provisions in their domestic law. Prof. Ferrari has mentioned that most of the courts in the contracting states of the CISG have shown the ‘homeward trend’ in his Article in 2008. The purpose of this article introduces and reviews the U.S. courts" attitude in interpretation and applying the CISG. Now is the time to review the decisions of foreign courts applying the CISG to promote the uniformity of interpretation of the CISG. This article deals with the U.S. courts" decisions held in 2014 and 2015. U.S. courts still show the ‘homeward trend’ even in stating the proper way to interpret the CISG. It appears that the courts still depend on the court decisions under the relevant provision of the Uniform Commercial Code Article 2(Sale). The attitude of the U.S. courts keeping the ‘homeward trend’ should be reconsidered and removed for achieving the goal of the CISG.
