Retired female CEOs and Board leadership positions

Abstract

In an effort to better understand board leadership and gender, this paper explores the glass ceiling phenomenon by analyzing the characteristics that can contribute to a female retired CEO being selected to lead a board of directors. There has not been much research on the characteristics that could contribute to a female being selected as the Chair, Lead Director, or Chairwoman of the four major committee boards (Audit, Compensation, Nominating, or Governance). Using a limited sample of retired CEOs, this paper analyzes CEO, Director, and Director Firm characteristics. The results show that the most talented women in terms of good performance before retirement have a higher chance to be selected to lead corporate boards, hence breaking the glass ceiling. The retired CEOs’tenure and ethnicity are also significant for board leadership appointments. Education is also important, as retired female CEOs with advanced degrees have higher probability for board leadership selection. The findings of this research add to those of Laura Casares Field, et al. (2020) by showing that certain women may break the class ceiling if they performed well during long tenures as CEOs and if are educated. |본 논문은 이사회 리더십과 성별을 더 잘 이해하기 위해 여성 퇴직 CEO가 이사회를 이끌기 위해 선정되는 데 기여할 수 있는 특성을 분석하여 유리천장 현상을 탐구합니다. 여성이 4대 위원회(감사, 보상, 임명, 지배구조)의 위원장, 선임이사 또는 의장으로 선출되는 데 기여할 수 있는 특성에 대한 연구는 많지 않았습니다. 본 문서에서는 퇴직한 CEO의 제한된 샘플을 사용하여 CEO, 이사 및 이사 회사의 특성을 분석합니다. 퇴직 전 성과 면에서 가장 재능 있는 여성이 기업 이사장으로 발탁될 확률이 높아 유리천장을 깼다는 결과가 나왔습니다. 퇴임한 CEO들의 종신 재직권과 민족성은 이사회 임원 선임에도 중요합니다. 고학력 여성 CEO의 이사회 선임 가능성이 높은 만큼 교육도 중요합니다. 이 연구의 결과는 CEO로서 오랜 재임 기간 동안 좋은 성과를 거두거나 교육을 받은 경우 특정 여성이 계급의 한계를 넘을 수 있다는 것을 보여줌으로써 Laura Casares Field 등(2020)의 연구 결과를 더합니다.
