파트너의 학습과 신뢰가 국제합작투자의 소유지분결정에 미치는 영향에 관한 연구

Abstract

This research examines how the partner learning and trust between partners affect the ratio of ownership share in international joint ventures. Hypotheses were established for the relationship among the variables, based on the literature review as a preliminary research, and the hypothesis was verified using survey data. The research revealed the following outcomes. Firstly, the hypothesis regarding partner's intention of internalizing learning and the ratio of ownership share was not rejected. It is due to a fact that Korean companies take large share so as not to loose core competency and competitiveness, and protect themselves in regard to their partners' internalization of learning. Secondly, the hypothesis about partner's organizational transparency and the ratio of ownership share was not rejected either. That is, when the partner's organization is not transparent in its management, the other company attempts to secure large share in order to have control over the business. Thirdly, the hypothesis about the partner's learning capacity and the ratio of ownership share was rejected. This result verifies the finding of the existing literature review that partner's learning capacity plays a significant role in decision-making of the Korean companies. In other words, the business is unlikely to be successful without full commitment of the partners. Fourthly, the hypothesis in regard to the partner's trust and the ratio of ownership share was rejected. This indicates that a joint venture would not be established without mutual trust. As shown above, trust between partners and partner learning are critical in achieving successful international joint venture business. Especially, the research focused the empirical analysis of how the partner's intention of internalizing learning and organizational transparency affect the ratio of ownership share in international joint venture. The research provides basis for finding the optimal ratio of ownership share for international joint ventures to pursue successful business.; 본 연구는 우리나라 국제합작투자기업을 표본기업으로 하여 파트너의 학습과 파트너에 대한 신뢰가 국제합작투자의 소유지분을 결정하는데 어떠한 영향을 끼칠 것인지를 규명해 보고자 하였다. 본 연구에서는 파트너의 학습과 파트너에 대한 신뢰가 이를 위하여 선행연구에 대한 문헌조사 후 이들 변수 간의 관계에 대한 가설을 수립하고 한국기업에 대한 설문조사자료를 이용하여 실증적으로 검증하였다. 본 연구의 결과를 요약하면 다음과 같다. 첫째, 파트너의 학습 내부화 의도와 소유 지분율에 대한 가설은 채택되었다. 이는 한국 기업이 파트너의 학습 내부화를 고려하여 기업의 핵심역량 ? 경쟁력을 잃지 않기 위해 다수 지분을 투자함으로써 이를 보호하기 위함이라고 볼 수 있다. 둘째, 파트너의 조직적 투명성과 소유 지분율에 대한 가설은 채택되었다. 이는 파트너가 조직적으로 투명하지 않을 시에는 다수 지분을 확보하여 이를 통제하기 위함이라고 볼 수 있을 것이다. 셋째, 파트너의 학습역량에 대한 소유 지분율에 대한 가설은 기각되었다. 즉, 한국기업의 합작투자에 있어서 파트너의 학습역량은 중요한 요인으로 작용한다는 기존의 문헌연구와 같은 결과이다. 즉, 파트너의 몰입(commitment)이 없이는 합작투자의 성공할 수 없다는 결과이다. 넷째, 파트너의 신뢰에 대한 소유 지분율에 대한 가설은 기각되었다. 이는 합작투자를 결정하는 데 있어서 신뢰가 없다면 아예 투자를 하지 않을 것이라는 결론이다. 본 연구가 이미 합작 투자를 하고 있는 기업을 상대로 설문조사를 실시하였기 때문에 파트너에 대한 신뢰에 대한 가설은 기각되었다. 본 논문에서 알아본 바와 같이, 국제합작투자는 파트너와 함께하는 것이기 때문에 합작 성공에 있어서 파트너의 학습과 파트너의 신뢰가 중요한 요인으로 작용하게 된다. 특히, 본 논문에서는 파트너의 학습요인인 파트너의 내부화 의도와 파트너의 조직적 투명성이 국제합작투자의 소유 지분을 결정하는데 있어서 영향을 미친다는 것을 실증적으로 분석하였다. 이를 바탕으로 앞으로 한국 내 기업들이 합작 투자 시 지분율을 결정하는 데 있어서 보다 성공적인 합작을 이끌어 나가기 위한 방안을 모색하는데 본 논문이 참고가 될 수 있을 것이다.
