상업어음할인대출에 대한 신용보증약정의 해석

Abstract

대상판결은 “상업어음의 할인에 대하여 보증책임을 부담한다”는 신용보증기금과 은행사이의 약정을, 은행이 문제된 어음이 상업어음인지 여부를 확인하는 과정에서 주의의무를 다하였다면, 사후에 융통어음으로 밝혀졌더라도 신용보증기금이 보증책임을 부담한다는 취지로 해석하면서, 종전 판례를 변경하였다.대상판결이 이러한 입장을 취한 배경에는, 기업구매자금대출에 관한 판례의 해석결과와 상업어음할인에 관한 해석결과를 달리하는 것은 부당하다는 고려가 있었던 것으로 보인다.그러나 해석결과의 통일성을 추구하는 것이 바람직하다는 이유만으로, 위와 같은 법원의 개입이 정당화되기는 부족하다고 생각한다. 이 사건에서 문제된 조항은, 신용보증기금은 은행의 과실여부와 상관없이 ‘상업어음’의 할인에 대해서만 보증책임을 지겠다는 취지임이 명백하고, 그와 같이 볼 합리적 근거도 충분하다. 나아가 문언의 의미와 부합하지 않는 ‘변경된’ 거래관행이 널리 퍼지게 되었더라도, 문언 그대로 계약내용을 해석하는 것이 이 사건 당사자들처럼 숙련된 당사자들의 계약내용 결정에 대한 주도권을 최대한 존중하는 것으로서, 법정책적으로도 타당하다.따라서 필자는 대상판결에 반대하고,대상판결의 반대의견에 찬성한다.The Supreme Court case(2006da36981) interpreted credit guarantee about commercial bill as follows, and changed its former opinion."Credit guarantor assumes liability also, when the bill turns out to be an accommodation bill, if the bank is not negligent in checking that the bill is a commercial bill"But, the term in question is plain, in that guarantor assumes liability only when the bill is a commercial bill. At credit guarantor's side, it is reasonable to have such a term, and the bank also knows that reason.It is supposed that Court want to maintain the coherence between the case(credit guarantee about commercial bill) and other case(credit guarantee about business purchase). But it can't be sufficient grounds for court's active role in contract interpretation. When contract parties are sophisticated, it is desirable to stress textualism, not only because it is in accordance with parties' will, but also it encourages "party autonomy".Therefore, I disagree with the conclusion of the case 2006da36981.
