Abstract
쌍무계약관계에서 당사자 어느 쪽에게도 책임있는 사유가 없는 상태에서 일방이 이행하여야 할 계약상의 급부가 불능이 된 경우 그 불능으로 인한 불이익을 위험이라고 한다. 그리고 이 위험을 누가 부담할 것인지가 위험부담의 문제이다. 민법은 위험부담에 관하여 개별계약에서 별도의 규정을 두지 않고 민법 제537조와 제538조에서 계약의 효력 일반으로서 누가 대가위험(반대급부위험)을 부담하는지에 대하여만 규정하고 있을 뿐이다. 여기에서도 당사자 사이에 언제 대가위험이 이전되는지에 관하여는 침묵하고 있다. 쌍무계약에서 위험이전 등에 대한 외국의 법제에 대한 비교법적 연구는 필요하며, 이러한 연구는 학설상의 논의를 보완하는 것을 넘어서 입법적 대안을 제시하는데 도움이 될 수 있다. 본 논문에서는 공통유럽매매법(CESL)의 위험이전에 관한 각종 규정을 비교법적으로 검토한다. CESL은 물품의 매매 및 디지털콘텐츠의 제공 및 관련 서비스에 관한 계약을 그 적용대상으로 한다. CESL은 사업자 간의 계약과 소비자계약(사업자와 소비자 사이의 사이)을 구별하여 규율한다. CESL은 제140조에서 매수인에게 위험이 이전된 후에 물품 또는 디지털콘텐츠가 멸실 또는 훼손된 경우, 그 멸실이나 훼손이 매도인의 작위 또는 부작위에 의한 경우가 아닌 한, 매수인은 대금지급의무를 면하지 못한다고 규정한다. 그리고 제141조는 먼저 위험이전을 위한 중요한 요건으로서 물품 또는 디지털콘텐츠의 특정을 요구한다. 이와 같은 위험부담의 원칙 하에 위험이전의 시기에 관하여는 제142조 이하에서 다양하게 규정하고 있다. 먼저 소비자매매계약에서는 소비자 또는 소비자에 의해서 지정된 제3자로서 운송인이 아닌 자가 물품 또는 디지털콘텐츠를 공급하기 위한 유형의 저장매체(tangible medium)에 대한 물리적 점유(physical posession)를 취득한 때에 위험이 이전한다. 그리고 사업자간의 계약에서 위험은 매수인이 물품 또는 물품을 표상하는 서류를 수령한 때에 이전한다(제143조 제1항). 동조항에 따르면 사업자간의 물품매매에서 위험이전의 중요한 기준시기는 매수인이 물품 또는 물품을 표상하는 서류를 수령한 때이다. 이외에도 공통유럽매매법은 물품이 매수인의 처분가능상태에 있는 경우, 송부매매, 운송 중 물품이 매도된 경우 등 다양한 유형에 따른 위험이전에 관한 문제를 규정한다. 공통유럽매매법의 이와 같은 위험이전 및 위험부담에 관한 규정은 우리에게 시사하는 바가 크다고 할 것이다. 특히 공통유럽매매법은 사업자간의 매매와 구별하여 소비자매매를 함께 규율하고 있다는 점, 다양한 매매의 유형에 따라 위험이전시기를 구체적으로 규정한 점은 위험이전 및 위험부담에 관한 학문적 또는 입법론적 논의에 중요한 시사점을 줄 수 있다고 생각된다. 현재 유럽사법의 통합과정 논의에서 CESL이 제안되었다가 철회된 상태이고 CESL이 국경을 넘는 물품의 매매를 규율대상으로 한다. 하지만 공통유럽매매법이 유럽연합의 회원국 내의 비교법적 연구의 중요한 산물이고, 그것이 매매일반의 중요한 원칙들을 담고 있다. CESL의 주요 내용은 향후 유럽사법의 통합과정이나 유럽연합의 회원국내에서의 중요하게 취급될 것이다. 위험이전에 관한 규칙도 마찬가지이다. It is very important to determine who bear the risk of the loss or damage of the goods due to no fault of either party and when the risk passes to buyer after the sale contract are concluded. Article 537 of Korean Civil Code regulate, “if the performance of an obligation of one of the parties to a bilateral contract becomes impossible by any cause for which neither of the parties is responsible, the obligor may not be entitled to counter-performance.” However, Civil Code does not regulate when the risk of counter-performance passes. On Oct. 11, 2011 the European Commission propsed the regulation on a Common European Sales Law(CESL). The law is to be applicable to cross-border sales contracts, whether business-to-business (B2B) or business-to-consumer (B2C). However, On Dec. 16, 2014 the European Commission withdrew the proposal of the regulation for Common European Sales Law. The important reason for the withdrawal is “Modified proposal in order to fully unleash the potential of e-commerce in the Digital Single Market.” In spite fo withdrawal, the rules of the draft are very important for comparative study of law. This paper study the rule on the passing of risk under common european sales law. The draft of common european sales law has rules regarding the passing of the risk in Chapter 14. It distinguishes expressly between business to consumer(B2C) and business to business contracts (B2B). Article 140 and 141 of CESL regulates the general rules regarding the passing of risk and burden of risk. Article 140 has a rule of legal effect of the transfer of risk as follows: “Loss of, or damage to, the goods or the digital content after the risk has passed to the buyer does not discharge the buyer from the obligation to pay the price, unless the loss or damage is due to an act or mmission of the seller.” According to Article 141 the risk does not pass to the buyer until the goods are clearly identified as the goods that are to be supplied under the contract. Furdermore, the CESL regulates when the risk passes. Article 142 to 146 of draft of European Commission (articles 142 and 143 of amendments by European Parliament) provide the rules regarding the time of passing of risk. In a consumer sales contract, the risk passes at the time when the consumer or a third party designated by the consumer, not being the carrier, has acquired the physical possession of the goods(Article 142). In a contract between traders the risk passes when the buyer takes delivery of the goods or digital content or the documents representing the goods. In addition the CESL has the rules regarding the passing of the risk in different types of contracts (i.e. goods placed at buyer’s disposal, carriage of the goods, goods sold in transit). The rules regarding the passing of risk of CESL are very important for the interpretation of Korean civil code and proposal of its amendments.
