Employee’s invention based on corporate organizational power is
becoming common as the process and subject of the invention become
more complex, and the speed of technology development is also rapidly
developing, unlike the era when invention by individuals received
attention. In particular, since employee’s invention is a significant
factor for the competitiveness of companies and the nation, the
Invention Promotion Act of Korea, enacted in 1994 to promote the
technological development capabilities of companies, protects and
encourages these employee’s invention. Unlike individual inventions, however, since employee’s invention is
made in the form of a collaboration in which the employee's creative
abilities and the employer’s human and material contributions is
intertwined in the process of completion, whether the patentable rights,
which arises at the time the employee’s invention is completed,
belongs to the employee or the employer is an important issue.
Regarding the attribution of rights to these employee’s invention, most
Countries around the world are adopting the attribution of inventor or
the attribution of employer according to their industrial policies and
economic conditions. On the other hand, as our Invention Promotion Act adopts the
attribution of inventor, in which rights are primitively vested in
employees who invented, employers must use the legal means of
succession to obtain employee’s invention. However, given the
specificity of employee’s invention, there is no inevitable reason for
the rights to employee’s invention to be primitively attributed to the
employee. It should not be overlooked that there are aspects that are
primitively attributable to the employer or that can be automatically
succeeded. Meanwhile, Article 1 of the Invention Promotion Act stipulates to
legalize and commercialize employee’s invention with speed and
efficiency. On the contrary, in the succession regulation of the current
Invention Promotion Act, instability exists in securing employers’ rights
in the following respects; first, it impose a formal procedure for
succession notwithstanding the fact that an employer can claim
succession only when pre-reserved assignment has been entered into
between the employee and the employer for employee’s invention; second, it has inconsistency in the timing of completion of employee’s
invention and the timing of succession of rights since it is considered
to be a legitimate succession only when the employee is notified of
the employer’s intention to succeed within the statutory period; third,
there is a possibility of employee’s free disposition before the
confirmation of the employer’s will to succeed as a time gap arises
due to the discrepancy of such time points. On the other hand, the United States, adopting attribution of inventor
like our country, allows automatic succession to employers according
to the jurisprudence of case law, while in Germany, an employee’s
invention may be succeeded at any time if the employer intends to
succeed, as the law stipulates the rights to claim extradition regardless
of the conclusion of the contract. Unlike our country, England and
France, adopting the attribution of employer, primitively vest the rights
to the employer with respect to a specific range of employee’s
invention stipulated in the law. At the same time, Japan recognizes the
effect of primitive attribution to employers only when a contract is
signed to acquire the rights to an employee’s invention, and recognizes
the effect of primitive attribution to employees based on attribution of
inventor if such a contract is not concluded. In that respect, the major
countries have one thing in common in terms of the fact that the
system of the employee’s invention is operated mainly by employers,
although the subject to which the rights to the employee’s invention is
set differently. Therefore, while maintaining the existing attribution of inventor in
the system of our employee’s invention, It is necessary to resolve the
instability of securing the employer’s rights by acknowledging the
effect of the condition precedent of the pre-reserved assignment or by
placing regulations restricting the disposition of employees.
Furthermore, adopting the concept of original acquisition by adding
some elements of the attribution of employer to the existing attribution
of inventor can be considered a desirable way to secure users’ stable
rights.
|개인에 의한 발명이 주목을 받던 시대와 달리 발명의 프로세스와 대상이 복잡화되고 기술의 발전속도 역시 급속하게 발전됨에 따라 기업의 조직력을 배경으로 이루어지는 직무발명이 일반적인 형태가 되었다. 특히, 직무발명은 기업은 물론 국가의 경쟁력에도 굉장히 중요한 요소이기 때문에, 우리나라는 1994년 기업의 기술개발역량을 진흥시키기 위하여 제정된 발명진흥법에서 이러한 직무발명을 보호・장려하고 있다.
하지만, 직무발명은 개인발명과 달리 완성되기까지의 과정에서 종업원의 창의적인 능력은 물론 사용자의 인적・물적 기여가 맞물리는 합작의 형태로 이루어지기 때문에 직무발명이 완성되는 시점에서 발생하는 특허를 받을 수 있는 권리를 종업원과 사용자 중에서 어느 쪽에 귀속하느냐의 여부가 중요한 문제일 수 밖에 없다. 이러한 직무발명의 권리귀속에 대하여 세계 각국은 자국의 산업정책과 경제상황에 따라 발명자주의 또는 사용자주의를 채택하고 있다.
이에 대하여, 우리의 발명진흥법은 발명자인 종업원에게 원시적으로 권리를 귀속시키는 발명자주의를 채택하고 있기 때문에 사용자가 종업원의 직무발명을 취득하기 위해서는 승계라는 법적 수단을 이용하여야 한다. 다만, 직무발명이 가지는 특수성을 고려할 때 직무발명에 대한 권리를 종업원에게 원시적으로 귀속하여야 한다는 필연적인 이유는 존재하지 않으며, 오히려 사용자에게 원시적으로 귀속하거나 또는 자동적으로 승계할 수 있는 측면도 공존하고 있음을 간과하여서는 안될 것이다.
한편, 발명진흥법 제1조는 신속성과 효율성을 갖춘 직무발명의 권리화・사업화를 목적으로 하고 있지만, 그와 달리 현행 발명진흥법의 승계규정은 첫째 직무발명에 대하여 종업원과 사용자 간의 사전승계약정을 체결한 경우에만 사용자가 승계를 주장할 수 있음에도 불구하고 승계에 관한 형식적인 절차를 강요하고 있으며, 둘째 법정 기간 이내에 사용자의 승계의사를 종업원에게 통지하여야만 적법한 승계로 보고 있기 때문에 직무발명의 완성시점과 권리승계 시점이 불일치하고, 셋째 그러한 시점의 불일치로 인한 시간적 간극이 발생함에 따라 사용자의 승계의사가 확정되기 이전의 종업원의 자유로운 처분행위가 이루어질 수 있다는 측면에서 사용자의 권리확보에 불안정성이 상존할 수 밖에 없다.
반면, 우리와 같이 발명자주의를 취하고 있는 미국은 계약 또는 판례법의 법리에 따라 사용자에게 자동적으로 승계할 수 있도록 하고 있으며, 독일은 계약의 체결을 불문하고 법률에서 인도청구권을 규정하고 있기 때문에 사용자의 승계의사가 있으면 언제든지 종업원의 직무발명을 승계할 수 있다. 또한, 우리와 달리 사용자주의를 취하고 있는 영국, 프랑스는 법률에 규정된 일정한 범위의 직무발명에 대하여 그에 따른 권리를 사용자에게 원시적으로 귀속하고 있으며, 일본은 종업원의 직무발명에 대한 권리를 취득한다는 계약 등을 체결한 경우에 한하여 원시적 귀속의 효과를 인정하고 그러한 계약 등이 체결되지 않은 경우에는 발명자주의에 입각하여 종업원에게 원시적 귀속의 효과를 인정하고 있다. 그러한 점에서, 주요국 등은 직무발명의 권리귀속의 주체를 달리 정하고 있을뿐 실질적으로 사용자를 중심으로 직무발명제도를 운영하고 있다는 측면에서는 일응 공통된 요소를 가지고 있다.
따라서, 우리의 직무발명제도에 기존의 발명자주의를 유지하면서 사전승계약정의 정지조건부 효력을 인정하거나 종업원의 처분행위를 제한하는 규정을 두어 사용자의 권리확보의 불안정성을 해소할 필요가 있다. 나아가, 기존의 발명자주의에 사용자주의의 요소를 일부 가미하여 원시취득의 개념을 적용하는 것도 사용자의 안정적인 권리확보를 위한 바람직한 방안으로 생각해 볼 수 있다.
