기업지배구조가 조세회피와 기업가치의 관계에 미치는 영향

Abstract

본 연구는 코스닥상장 벤처기업의 2008년부터 2013년까지의 재무자료를 이용하여 조세회피와 기업지배구조, 기업가치 간의 관계를 분석하여 일반기업과의 차이점을 검토하는 것을 목적으로 하고 있다.분석결과 첫째, 조세회피는 기업가치에 부(－)의 영향을 미치고 있어 대리인관점을 지지하지만 영향력은 미미한 것으로 나타나, 유의한 부(－)의 영향을 미친다는 일반기업 대상의 연구와는 차이가 있는 것을 확인하였다. 이는 벤처기업의 경우 신사업을 중심으로 미래수익에 중점을 두고 있다는 특성을 감안한 결과로 판단된다. 둘째, 벤처기업의 기업지배구조 중 대주주지분율은 기업가치에 음(－)의 영향을 미치며, 외국인지분율은 정(＋)의 영향을 미치는 것으로 나타나 일반기업과 동일한 결과를 나타내고 있다. 셋째, 벤처기업도 일반기업과 동일하게 기업지배구조가 조세회피의 부정적 영향을 감소시키는 것으로 나타났다.이러한 결과는 자본시장의 환경과 기업특성에 따라 조세회피가 기업가치에 미치는 영향력이 차이가 있다는 것으로 벤처기업의 기업가치 평가에 있어 고려하여야 한다는 것을 시사하고 있다.This study investigates the relation between tax avoidance and corporate governance, corporate value by using data from 2009 to 2013, the financial year of the study KOSDAQ venture. The results were in contrast to the general business venture confirmed that does not affect the enterprise value tax avoidance. This reflects the nature as to take into account the attributes that focuses on future revenue mainly new business ventures and the results are agent viewpoint differed. However, corporate governance of venture firm is a positive effect on firm value shows the same results and general corporate. Also shows the same general corporate results appear to reduce the negative impact of tax avoidance on corporate governance ventures. Therefore, we suggest that companies should consider the valuation of the venture that is the difference between the impact on the enterprise value tax avoidance, depending on the characteristics of the capital market and corporate environment.
