Abstract
계약법상 임의규정은 어떠한 내용을 담고 있어야 하는가, 임의규정은 어떠한 사회적 기능을 하는가에 관하여 여러 논의가 존재한다. 이 글에서는 이러한 논의를 개관하고, 이러한 논의가 법원이 구체적 법문제를 해결함에 있어 어떠한 시사점을 줄 수 있는지 살펴보았다.전통적으로 임의규정은 다수의 합리적 당사자가 선호하는 내용을 기준으로 설계되는 것이 바람직하다고 생각되어 왔다. 다수의 기준에 따른 임의규정은 거래비용을 줄일 수 있을뿐더러, 계약당사자들의 의사에 부합할 확률이 높으므로 사적자치의 원칙과도 부합한다.그러나 이러한 시각만으로는 임의규정의 다양한 사회적 기능을 모두 설명하기 어렵다. 가령, 임의규정은 계약당사자로 하여금 자신의 정보를 상대방에게 공개하도록 유도하거나 해당 임의규정에 머물게 하는 기능을 할 수 있다. 또한 임의규정이 존재함으로 인해 임의규정의 적용여부를 판단하는 과정에서 불필요한 거래비용이 발생할 수 있다. 거래경험이 풍부한 반복적 거래 참여자 사이의 계약에서는 이러한 거래비용을 줄이고 판단결과의 예측가능성을 확보하는 것이 중요하다.임의규정에 관한 다양한 논의는 ① 법원이 판례법리와 같은 디폴트 룰(default rule)을 어떠한 내용으로 설계할 것인가, ② 법원이 디폴트 룰로부터의 이탈을 어떠한 조건 하에서 인정할 것인가라는 문제에 관하여 시사점을 줄 수 있다. 위 문제를 해결하는 과정에서 주로 고려되는 요소는 역시 ‘합리적 다수의 기준’이다. 즉, 디폴트 룰은 합리적인 다수가 선호하는 내용에 따라 설계되고, 그에 따라 디폴트 룰로부터의 이탈여부를 판단하는 것이 대체로 타당하다. 다만, 여기서 말하는 합리적 다수의 기준이 무엇인지는 거래관행, 경험칙 등을 고려하여 결정해야 하는데, 도출된 구체적 법명제가 타당한지는 사안별로 검토될 수밖에 없다.무엇이 다수의 기준인지 명백하지 않다면, 정보제공의 유도, 오류비용의 감소 및 결론의 예측가능성 확보와 같은 점이 함께 고려될 수 있다. 따라서 정보제공을 유도하는 방향으로 디폴트 룰을 설계하거나, 법원의 판단오류를 줄이고 결론의 예측가능성을 확보하기 위해 디폴트 룰과 관련된 묵시적 합의를 가급적 인정하지 않는 것이 타당할 수 있다.In this article, I survey the various perspectives on the default rule in contract law, and analyze their implications.Traditionally, it has been considered that default rule should be set on what the majority of rational parties in commercial practice wants. This majoritarian default rule can decrease social transaction cost. And it is very likely that this default rule fits with parties' will, so contract parties are not likely to be compelled to bear unwilling results.But this traditional view can not explain various functions of default rules thoroughly. For example, default rules which impose burden on the one party, can induce him to reveal the hidden information to another. And default rules may be sticky, so parties can stay that rule although opt-out is better. In addition, default rules can cause unnecessary transaction costs(ex. dispute resolution costs, courts' error costs). In contracts between sophisticated parties, it may be more desirable to reduce error costs and secure the predictability of courts' decision.In the two jurisprudential problems - how to design default rules, when to admit to opt out of default rules, - the main criteria is what the rational majority in common practices of transaction prefers. But when that standard is not certain, other criteria(induce information disclosure, reduce error costs, secure the predictability of courts' decision) can be considered together. So, it is desirable to design information-forcing default rule or disallow ‘implied’ opt-out. When courts are willing to imply terms in contract, it is difficult to predict courts' judgment and error costs may occur. So, when interpreting contracts between sophisticated parties, it may be desirable to refrain from admitting 'implied' opt-out of default rules.
