Abstract
기술혁신을 통해 시장에 진입한 벤처기업의 경우 자신의 기술을 직접 상용화하거나 혹은 라이선싱 계약을 통해 기존 기업에게 판매하는 두 가지 옵션을 갖는다. 통상적으로 자신의 혁신기술을 직접 상용화하는 전략은 자본과 시장 노하우의 열위라는 큰 제약조건을 가지고 있는 벤처기업에게 불리하게 작용한다. 따라서 자신의 기술에 대한 가치를 부여하고 이를 거래함으로써 전략적 열위를 극복할 수 있는 라이선싱 전략을 활용하기 쉽다. 본 연구는 이러한 라이선싱 계약에 있어서 기술 구매자인 기존 기업과 벤처기업 간의 갈등구조를 기반으로 이에 따른 균형전략을 도출한다. 라이선싱 계약에 내재되어 있는 갈등구조는 양자 간에 매우 첨예한데, 벤처기업의 경우 자신이 이전해 줄 기술에 대한 대가를 기존 기업이 적시에 제공할 것인가 여부에 관해 불확실성이 크다. 반면 기존 기업의 경우 자신이 구매한 기술수준이 실제로 계약에 명시된 최고 수준의 기술인지 여부에 대해 불확실성이 상존한다. 이러한 첨예한 갈등 구조 하에서 본 연구는 시그널링 게임을 구축해 벤처기업과 기존기업 간의 균형전략을 도출해 비즈니스상의 시사점을 제시한다. 본 연구의 주요 결과는 다음과 같이 정리된다. 첫째, 기존 기업이 벤처기업의 기술에 대한 보상조건으로 제시하는 일시불의 수준은 자신의 타입을 결정하는 신호로 전달된다. 둘째, 자신이 받아들인 신호에 준해 기존 기업의 타입을 결정하는 벤처기업은 타입별로 자신이 이전할 기술의 수준을 결정한다. 셋째, 만약 기존 기업이 로우(low) 타입으로 간주될 경우 벤처기업은 자신의 보유 기술에 대한 적정한 이전 대가가 제시될 경우 자신이 보유한 최고 수준의 기술을 제공할 수 있다. 하지만 기존 기업이 하이(high) 타입으로 간주될 경우 상대적으로 낮은 수준의 보상수준을 제시하려 하게 되고, 이에 따라 하이 타입인 기존 기업은 벤처기업이 보유한 최고 수준의 기술을 이전받지 못할 개연성이 높아진다. 이는 역으로 설령 로우 타입일지라도 기존 기업은 벤처기업의 기술을 획득해 시장 리더를 뛰어넘을 수 있는 전략적 유연성을 가질 수 있다는 점을 강조한다. Venture startups with noticeable new innovations can either market for their own sakes or license them to incumbents. It is evident that they are limited in capital, market know-how, and organizational capability, which can drive them to put weights on a licensing strategy. When it comes to licensing contracts, licensees are supposed to evaluate the values of licensors’ technologies. In the paper, we consider that a licensing contract pursuing a lump-sum compensation. Both a licensor and a licensee have conflicts each other. The licensor is concerned if the licensee would pay an appropriate lump-sum payment while the licensee is concerned whether the licensor would transfer its best technology. The licensor can verify the quality of a transferred technology, ex post the licensing contract only. Under such uncertainties, the signaling model of the paper suggests three important business implications. First, a venture startup, i.e, the licensor, updates its prior belief after receiving the signal from an incumbent, i.e, the licensee, Second, the level of a transferred technology is determined by the licensee’s type. Third, if the licensee is believed to be a low-type licensee, the venture startup would transfer its best technology; however, the venture startup becomes to rely on a mixed strategy when it believes that the incumbent is a high-type licensee. In business practices, these results indicate that even low-type incumbents are able to leapfrog their market leaders through acquiring venture startups’ innovations.
