Abstract
우리나라는 IMF 관리체제를 맞아 부동산 경기침체와 수익용 부동산의 수익률이 크게 저하되었으며, 시장에서는 기업구조조정용 부동산 등 산적하는 부동산 매물을 흡수하지 못하였고, 이는 부동산의 가치하락으로 이어졌다. 이같은 문제의 해결을 위하여 선진 금융기법의 필요성이 대두되었고, 이에 1998년 부동산유동화에관한법률 제정을 필두로 자산담보부증권, 1999년 주택저당증권제도가 도입되었으며, 2001년 부동산투자회사법의 제정으로 리츠제도가 시행되어 리츠제도의 활성화를 위한 법적 장치가 마련되었다. 현재, 자산담보부증권과 주택저당증권제도는 기업의 부실자산처리문제로 부동산유동화증권화에 많은 경험을 축적하며, 국내 경제에 새로운 시장을 창출한 것으로 평가된다. 물론 이에 대한 외국계 자본의 막대한 부의 축적과 국부논란은 아직도 남아 있는 현실이다. 그러나, 2001년 도입논의 단계에서 시장의 커다란 기대를 안고 출범한 리츠제도는 기업구조조정부동산투자회사(이하 CR리츠)의 일부 활성화를 제외한다면, 리츠의 본래 기능을 수행하는 일반부동산투자회사(이하 일반리츠)의 설립이 현재까지 미미한 상황이다. 이러한 관점에서 기존의 리츠제도의 문제점은 다음과 같이 요약될 수 있다. 첫째, 설립시 기간의 장기화와 최저자본금 제한 및 운영절차의 규제로 인해 국내 금융상품간의 경쟁우위를 점하지 못하였다. 둘째, 자산운용 부분에 있어서는 취득 후 3년 이내의 단기거래나 건축물 또는 그 밖의 공작물이 없는 토지의 거래가 제한되는 등 부동산의 처분이 제한되고 있으며 설립이후에 증권시장 상장 전에는 현물출자가 금지되고 있어 규제가 많은 편이다. 셋째, 과세제도에 있어서 일반리츠는 취득세 및 등록세가 50%만 감면되고 법인세 면제 혜택이 없어, 취득세 및 등록세가 100%면제되고 법인세가 면제 되는 CR-리츠에 비하여 수익률 면에서 불리할 수 밖에 없다. 또한, 부동산 펀드가 리츠에 비해 펀드형태, 설립절차, 설립기간, 현물출자 1인당 주식한도, 자금대여, 감독 등 모든 측면에서 시장친화적이며 , 이는 시사 하는 바가 크다고 할 수 있다. 부동산펀드의 시장친화적인 설립규제는 단기투자형, 안정형, 고수익형 사모투자펀드 등 다양한 형태의 상품 개발을 가능케 한 것으로 볼 때, 국내 리츠제도의 시장친화적인 정비가 요구되는 실정이다. 국내 리츠업계는 리츠제도 도입이후 대형 오피스 시장의 주요한 투자운용기구로 성장하였으나, 그 운영방식이 단순임대에 그치며, 리츠상품간 수익률 또한 큰 차이를 보이고 있지 않다. 이러한 리츠시장내 자금유입을 활발히 하기 위해서는 고수익추구의 개발투자 리츠 등 다양한 수익추구방식의 리츠도입이 요구되는 실정이다. 도입 이후 운영규제 등 구조적인 문제로 순기능을 하지 못한 리츠제도의 정비를 위하여, 부동산투자회사의 설립 및 운영에 대한 규제의 완화를 내용으로 하는 <부동사투자회사법 개정안>이 마련되었으며, 2006년 6월 13일에 입법예고 되었고 2007년 국회에 통과될 예정이다. 주요 개정안을 살펴보면 리츠의 설립 기간단축, 최저자본금의 완화, 최저설립자본금제도도입, 개발사업 규제 완화, 차입 및 사채발행의 제한완화 등의 개정안은 궁극적으로 설립의 용이성을 통해 리츠시장 활성화에 기여할 것이다. 이는 부동산간접투자시장의 확대로 이어져 일반인에게 부동산투자기회를 제공하며, 부동산자본을 대형화 할 것이다. 이같은 리츠의 순기능은, 리츠가 부동산간접투자시장에 안정적인 투자대안으로 메마른 투자처에 대한 해갈과 부동산시장의 교란요인이 된 시중 부동자금을 어느정도는 흡수하여 부동산 시장에 안정에도 기여할 것으로 기대된다. 또한, 개발사업이 활성화되면, 건설사업의 지원과 자산평가, 조세, 법률, 컨설팅 등 부동산산업의 전반의 연쇄파급효과도 기대할 수 있을 것이다. 아울러, 장기투자수요자가 신뢰할 수 있는 투자처를 제공하여 리츠가 금융시장의 제 3의 투자대안으로 자본시장의 선진화에 도모하며 국내 경제에도 기여할 것으로 기대된다. 그러나, 이번 개정안은 리츠의 활성화 측면에 치우쳐 투자자 보호, 교육체계, 투자자문사, 자산관리회사 등의 육성 방안 포함되지 않아 아쉬운 부분이 있다. 이에 본 연구는 국내 부동산간접투자시장의 현황을 개괄하고 그 중 리츠시장에 대한 세부분석을 통해 국내 리츠시장의 문제점을 도출하고 이를 금번 개정안에 도입함으로써 추가적인 개선안을 제안하였다. 이 연구가 부동산투자회사 제도의 발전을 도모하고 앞으로 우리나라의 부동산 시장의 선진화와 리츠제도의 정착 및 발전에 다소나마 도움이 되기를 바란다.; Under the IMF bailout program, the real estate markets were greatly recessed with decreasing profits of the real estate investments. Namely, the real estates for sale could not be absorbed by the markets, which in turn decreased the values of real estates. In order to solve such problems, it was deemed necessary to introduce some advanced financial techniques, and thus, Law on Securitization of Assets was enacted in 1998 to launch the ABS system, followed by the MBS system in 1999 and subsequently Law on Real Estate Investment Companies in 2001 to provide for a legal ground for the REITs system. In particular, ABS and MBS systems have conduced to create new real estate markets by securitizing the insolvent companies' real estates. Of course, the arguments that foreign capitals have made huge profits through them and thereby, our national wealth has been depleted much still remain unsettled. The REITs system which was launched with a high expectation of the financial markets in 2001 has activated the corporate restructuring real estate investment companies (or CR REITs companies) partially, but only a few ordinary real estate investment companies (or ordinary REITs companies) have been established so far. In this context, the problems of the existing REITs system may be addressed as follows; First, the REITs system could not be positioned advantageously against other financial commodities due to delayed establishment of REITs companies, higher ceiling of capital and regulated operation. Second, the types of assets which can be securitized by the REITs system are too limited to exclude the short-term transactions within 3 years after acquisition as well as those lands with no building or structure. Moreover, the subscription in kind to them are prohibited before their shares listed on the Stock Exchange Market. Third, acquisition and registration taxes are exempted only 50% for the ordinary REITs companies without no corporate tax incentives, while all such taxes are exempted 100% for CR REITs companies. In addition, the REITs are very unfavorable compared with the real estate funds which are very market-friendly in view of types of fund, procedures for establishment, time taken for establishment, per capita share for subscription in kind, loan and supervision. The real estate funds are expected to be diversified into loan-centered stable funds, short-term investment funds and high-profit private equity funds, while being associated with rental operation, remodelling and other capital integrations. On the other hand, the REITs which have grown as means of investments in large-scale office building markets are expected to be alternative overseas real estate investment funds with the high-profit development investment means explored as early as possible. Meanwhile, in order to deregulate the ordinary REITs companies, the draft revision of "Law on Real Estate Investment Companies" was announced on June 13, 2006; it is expected to pass the National Assembly in 2007. The major revisions are shorter period required for establishment of REITs companies, lower ceiling of capital, introduction of a minimum capital system, deregulation of the development projects as well as borrowing and bond ceilings. The new law is expected to activate the REITs markets and expand the indirect real estate investment markets only to increase the opportunities for ordinary people to invest in the real estates and enlarge and professionalize the real estate funds. Then, the REITs system as a stable alternative for indirect real estate investments will absorb the floating money disturbing the real estate markets, while quenching the thirsts for investment sources. In addition, if the real estate development projects should be active, the REITs system would have some spreading effects on construction businesses, asset appraisals, tax revenues, legal and consulting services and other real estate services. Furthermore, they would provide the long-term investors with some reliable investment sources. Namely, the REITs system as a third investment alternative would serve to advance our domestic capital markets and thereby conduce much to our national economy. Nevertheless, the draft revision seems to be still poor in view of protection of investors, education system, and promotion of investment consultants and asset management companies. This study reviewed concepts and conditions of the indirect real estate investments and analyzed the REITs markets and address their problems and suggested their solutions in addition to those specified in the draft revision of the law. Lastly, it is hoped that this study will be conducive to development of the real estate investment companies, advancement of our real estate markets and establishment of the REITs system.
