외국인투자자가 한국기업의 경영 및 지배구조에 미치는 영향

Abstract

본 논문은 최근 논란이 되고 있는 외국자본의 영향력 확대 문제를 외국인투자자가 국내기업의 배당, 투자 및 지배구조에 미치는 영향의 관점에서 분석하고 있다. 분석결과 수익성과 성장성이 좋은 기업의 경우 외국인지분율의 증가는 오히려 배당을 줄이고 투자를 촉진하는 성향을 보이고 있어 외국인투자자가 기업의 자원배분의 효율성을 증가시키는 역할을 하고 있음을 시사하고 있다. 또한 이러한 경영의사결정의 효율화는 주로 외국인지 분율의 증가, 특히 단독으로 5% 이상의 지분율을 가진 외국인투자자의 존재와 이로 인한 기업지배구조의 개선을 통해 유도되는 것으로 확인된다. 결론적으로 일부 기업에서 논란이 되고 있는 외국인투자자의 부정적 영향력과 과도배당 등의 문제는 소수 기업의 문제로 해석하는 것이 타당하며 전체적으로 외국인투자자가 국내기업의 경영에 미치는 영향은 비교적 긍정적인 것으로 평가되어야 한다. The role of foreign investors in Korean economy has been controversial since we observed several cases of excessive payments of cash dividends or stock repurchases, mainly at the requests of foreign investors. According to the empirical analysis that controls for the endogeneity of the variables, we find that the investment by foreign investors in domestic firms tend to lead to more efficient management decision through the improvement of their corporate governance, and that the current controversy on the negative role of foreign investors cannot be generalized.
